Terms of Engagement
The ground rules for working with the lab.
1. Scope & Deliverables
Every engagement starts with a written scope document outlining deliverables, milestones, and acceptance criteria. Changes follow a lightweight change-order process.
2. Communication & Collaboration
We maintain regular, transparent communication throughout the engagement. Progress updates are shared via agreed channels and cadence. Feedback and approvals are expected in a timely manner to keep momentum.
3. Intellectual Property
Upon project completion and final sign-off, the client receives full ownership of bespoke source code, designs, and assets produced for the engagement. Wefley retains rights to underlying frameworks, libraries, and reusable toolkits.
4. Confidentiality
We treat all client materials, data, and project details as strictly confidential. Mutual NDAs are available on request and honored in perpetuity.
5. Warranty & Support
We warrant deliverables against material defects for 30 days post-acceptance and will remediate qualifying issues promptly and without charge.
6. Limitation of Liability
Aggregate liability is capped at the total fees paid for the relevant engagement. Neither party shall be liable for indirect, incidental, or consequential damages.
7. Dispute Resolution
In the unlikely event of a disagreement, both parties agree to attempt resolution through good-faith negotiation and mediation before pursuing formal legal remedies.
8. Governing Law
These terms are governed by and construed in accordance with applicable local laws, without regard to conflict of law principles.
